Art Socks By Sub Sox

Thank you for choosing to work with us and being an “Art Socks” (by Sub Sox) Artist. We value your work and the trust you’ve put into our hands. Below is a contract to help ensure that a positive and lasting relationship between both parties persists. We’re committed to our goal: continued support and help to each Artist by means of producing high-quality merchandise in order for them to continue their creative vision. Our hope is that our ability to put your art on our socks helps to accelerate and fund your creative endeavors.

Commission

Artist Name:

In regard to the sale of “Art Socks” that portray my art, I agree to receive 15% commission on all “Art Socks” (by Sub Sox) sold either online and in-stores and fulfilled by Sub Sox.

Instant Commission will be payed through Venmo or Zelle and typically arrive the same day of the sale. We currently set our “Art Socks” prices at $18, however some sites and listings may occasionally have holiday or other sales that impact the sales price. If you see slight fluctuations in payments, this is likely the cause. At any time you are encouraged and able to request to ask us about any payment concerns or discrepancies. Our goal is to have a long-term working relationship that is mutually beneficial.

Responsible Party costs associated with the production of “Art Socks”

In regard to these “Art Socks” listings and the physical goods produced, Sub Sox is solely responsible for all inventory and product management to include: Advertising and promotional expenses, initial inventory cost, any rent paid to physical stores where physical goods are for sale, listing and website expenses, cost of maintenance of machines and equipment used to produce goods, licenses to operate an LLC in Washington State, online sales taxes, and various other expenses such as vehicle and fuel costs to stock stores, and shipping costs.

This unique endeavor and agreed upon mutual contractual collaboration allows for the production of real physical socks and other goods without artist’s having to invest their own capital. In exchange for the costs stipulated above and accrued by Sub Sox, you as the artist agree to allow the production of socks using your art. In no way does Sub Sox take ownership of your art for any other purposes other than using it as art on our socks. Other products using your art may only be produced by us with your (Artist’s) consent. We will always strive to portray your art in the best light and want to maintain a long-term relationship that is mutually beneficial to both parties. Your final approval of each pair of “Art Socks” or other goods is something we strive for and want to achieve with each product before it goes into production. Please feel free to openly speak to us and communicate your desires of how your art is portrayed, especially before large production runs.

Considerations

Time and resources are spent on our part to create the correct formats and placing of designs and to be able to turn them into real tangible goods. We also bear the cost of the inventory, packaging, printing and other machines and equipment, and labor. We assume all financial risk of inventory produced that may not sell and don’t require or ask for any financial risk of you as an “Art Socks” Artist. We appreciate your art and want to see your socks sell and help fuel your creative vision. To achieve this, we want to protect our brand image, and encourage artists to self promote their “Art Socks” alongside us.

Wholesale Pricing

I understand that I’m able to but not required or obligated in any way to buy my own “Art Socks” at wholesale pricing from Sub Sox and resell them in my own storefronts and online. The current wholesale price for each pair of “Art Socks” is: $9.50.

If I purchase Wholesale socks depicting my art, I agree to not sell any package that has been opened and I will not alter the packaging in any way.

Wholesale Price Changes

This price is subject to change and we cannot guarantee the price fluctuations of our suppliers but we will always act in good faith to keep our wholesale pricing structure as fair and consistent as possible. We strive to maintain the high caliber and quality of our socks in terms of their durability and comfort. As an “Art Socks” Artist you agree to not use the name “Art Socks” , Sub Sox, Simply Me, SMG, or any other subsidiary brands held under our parent brand Simply Me - Gentlemen, LLC, established 2017 unless you are using the name in regard to merchandise that was produced by Sub Sox, or our other brands. A violation of this stipulation would be cause for the termination of our collaborative efforts and/or legal ramifications.

Termination of Contract

At any time either party is able to terminate our agreement but all merchandise already produced by us would still be able to be sold under our current agreement and commission structure. Upon Termination, you could also purchase all inventory containing your art at the agreed upon wholesale price stipulated in this contract and our mutual contractual obligations would cease upon payment of said inventory.

Artist’s Responsibilities

Artist agrees to file their own taxes each year. Artist agrees to provide Information required on Form (1099-MISC Income) to Payer (Sub Sox). Artist is held responsible for paying their own tax obligations on any income paid to them by the Payer. You’re strongly encouraged to talk with your own accountant to make sure you’re in accordance with the IRS, and Washington Department of Revenue.

Please Read the information in the following links regarding Form (1099-MISC Income) and complete the requested information required of you. We need a copy of a completed Form (1099-MISC Income) to turn into our accountant.
